Securities and Exchange Commission (SEC), Small Business Capital Formation Advisory Committee (SBCFAC) will meet this week to discuss initial public offerings (IPOs) and capital formation.
As part of the broader goal of making IPOs “great again” as well as improving access to capital, including online capital formation, the SEC is hosting a panel: Modernizing Market Access: Promoting IPOs and Small Public Company Capital Formation. The panel will discuss regulatory reform aimed at reducing friction in capital formation for public securities.
The SEC Division of Corporate Finance will review proposed changes to:
- allowing companies to submit semi-annual reports instead of quarterly reports;
- Making Form S-3 available to significantly more issuers and expanding certain registration and communications benefits;
- Improve facilities for emerging growth companies and simplify filing status for reporting companies.
The SEC has a mission of investor protection, efficient markets and access to capital. The last of these goals was largely ignored under the previous administration, but under the President’s leadership Paul Atkinscapital formation once again became a securities regulator’s target.
The meeting will begin at 10 a.m. ET on Tuesday, July 21, and will be broadcast live to the public on the SEC website.
