Private markets have grown while public markets have declined, largely due to overregulation and the costs of being a public firm. Typically, access to private markets is difficult for small investors. USVC solves this problem by expanding access to venture capital, enabling retail investors to invest in some of the most promising private firms.

The fund is not listed on an exchange and liquidity is not expected in the near term. The fund may repurchase quarterly, but there is no guarantee of distribution. according to prospectus:

“The Fund generally will hold Portfolio Investments until a liquidity event or liquidation event occurs with respect to such Portfolio Investment. Notwithstanding the foregoing, the Fund may, from time to time, sell securities of Portfolio Investments if necessary in the best interests of the Fund in the judgment of the Investment Adviser.”

Naval RavikantFounder of AngelList and Chairman of the USVC Investment Committee, stated In X:

“…ordinary people can’t invest until it’s old (early stage tech), until it’s no longer interesting and everyone has access to it. During stock IPOs, most of the alpha is gone. The adventure is over. Public market investors are literally the last in the line. This problem has become laughable in the last decade. As startups reach trillion-dollar valuations in private markets, ordinary investors are putting their noses to the glass and wondering when they will get in. Investing in private markets is not easy. You have to have your feet on the ground. Years “You need a decision that is built over time. Most people don’t have the patience to wait ten or twenty years for an investment to pay off.”

He said buy now and wait. If you do it right, you will be rewarded.

AngelList has long been the top startup marketplace and job board for the tech industry. In 2013, AngelList received a no-action letter from the SEC allowing it to leverage Reg D 506(c) to list investment opportunities without becoming a broker-dealer. While AngelList is not alone in providing venture capital funding to retail investors, it remains a small segment of the venture capital industry. There is currently a movement in Washington DC to allow alternative investments into an individual’s retirement account; This is something that could benefit savers in the long run; because venture capital, when chosen wisely, generally outperforms the public markets.
